By accessing or using HouseSync (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a household or organization, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after such notification constitutes acceptance of the modified Terms.

2. Description of Service

HouseSync is a household management platform that provides tools for:

• Task and to-do management
• Budget and expense tracking
• Inventory management
• Maintenance scheduling and reminders
• Expense tracking and splitting
• Household communication and coordination
• Property management (for landlords)
• SMS and email notifications

The Service is provided “as is” and we reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. Eligibility

To use HouseSync, you must:

• Be at least 13 years of age (users under 18 require parental consent)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law
• Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Account Registration

To access most features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

5. Subscription and Payment

5.1 Free Trial

New users may receive a free trial period. At the end of the trial, you will be charged unless you cancel.

5.2 Subscription Plans

Paid features require a subscription. Prices are displayed on our website and may change with notice.

5.3 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payments are processed through Stripe
• You authorize us to charge your payment method on file
• Failed payments may result in service suspension

5.4 Cancellation and Refunds

You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by law.

6. User Responsibilities

You are responsible for:

• All content you create, upload, or share through the Service
• Ensuring your use complies with applicable laws
• Obtaining consent before adding others' information to the Service
• Managing household members you invite
• Maintaining the security of your account credentials
• Any activities conducted through your account

7. Prohibited Conduct

You agree NOT to:

• Violate any laws or regulations
• Infringe on others' intellectual property rights
• Upload malicious code, viruses, or harmful content
• Harass, threaten, or abuse other users
• Send spam or unsolicited messages
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use the Service for illegal purposes
• Create fake accounts or impersonate others
• Scrape or collect data without permission
• Circumvent any access controls or limitations

8. User Content

8.1 Your Content

You retain ownership of content you create. By using the Service, you grant HouseSync a non-exclusive, worldwide, royalty-free license to use, store, display, and process your content solely to provide the Service.

8.2 Content Standards

You represent that your content does not violate any laws, infringe on third-party rights, or contain harmful material.

8.3 Content Removal

We may remove content that violates these Terms without notice. We are not obligated to monitor content but may do so at our discretion.

9. Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by HouseSync and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

“HouseSync” and our logos are trademarks of HouseSync. You may not use them without our prior written consent.

10. Third-Party Services

The Service integrates with third-party services to provide core functionality. By using these features, you agree to the respective third-party terms:

• Stripe: Payment processing for subscriptions and billing. Subject to Stripe's Terms of Service.
• Google Calendar API: Calendar synchronization (requires Google OAuth authorization). Subject to Google Terms of Service. HouseSync's use of Google APIs complies with the Google API Services User Data Policy.
• OpenAI: AI-powered receipt scanning and text extraction using GPT-4 Vision. Subject to OpenAI Terms of Use.
• Twilio: SMS messaging for notifications and reminders. Subject to Twilio Terms of Service.
• SendGrid: Email delivery for notifications and account communications. Subject to Twilio/SendGrid Terms of Service.
• Plaid: Financial account linking for bank connections (when enabled). Subject to Plaid Terms.

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services, their availability, or their handling of your data beyond what we transfer to them. You may disconnect optional integrations (like Google Calendar or Plaid) at any time from your account settings.

11. Disclaimers

We disclaim all warranties including:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of the Service
• Uninterrupted or error-free operation
• Security or freedom from viruses

HouseSync is a household management tool, not a substitute for professional advice. Budget features do not constitute financial advice. Maintenance reminders are aids, not guarantees. Always consult qualified professionals for financial, legal, or home maintenance matters.

12. Limitation of Liability

Some jurisdictions do not allow limitation of liability for certain damages, so some limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless HouseSync, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@housesync.net to attempt informal resolution.

14.2 Binding Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in English, and the arbitrator's decision is final and binding.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

14.4 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15. Termination

By You: You may delete your account at any time through account settings or by contacting support.

By Us: We may suspend or terminate your account at any time for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Extended inactivity
• Any reason at our sole discretion with notice

Upon termination, your right to use the Service ends. Sections that by their nature should survive termination will survive (e.g., liability limitations, indemnification).

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and HouseSync.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign your rights without our consent. We may assign our rights freely.
• Force Majeure: We are not liable for delays due to circumstances beyond our control.
• Notices: We may send notices via email, in-app messages, or postal mail.
